Abstract:
The subject builds on the subject, Law115 Law in Business, and develops a more substantial understanding of elements of company law and finance law. The topics are approached with an emphasis on the role of a manager within a business structure and the application of legal principles to the solution of practical problems.

The subject is restricted to students enrolled in courses originating from the School of Rural Management on the Orange campus and who have successfully completed RMBU1235.
Other students should consult with their Course Co-ordinator prior to seeking enrolment.
Equivalent prerequisite subject for former students of the University of Sydney, Orange campus RMBU1235.
Not available to students who have completed RMBU3632.
Objectives:
Upon successful completion of this subject, students should:
Be able to:
* Confidently use legal principles to develop an argument and draw logical conclusions.
* Identify the source and content of the law that applies to companies.
* Discuss the overlap between common law and statutory regulation of companies and the implications of this overlap.
* Outline the method for bringing a company into existence.
* Explain the law that applies to internal governance of companies and their relationships with outsiders.
*Argue the options available to a company that is in financial difficulties.
* Analyse and solve problems that a company may encounter both externally and within the company itself.
* Describe the various forms of business debt and the significance of security in borrowing.
* Critically assess the law relating to credit.
* Demonstrate a knowledge of the regulatory regime for electronic transactions and evaluate the effectiveness of a regulatory regime.
Syllabus:
The subject will cover the following topics:
Types of companies and their formation.
Limited liability and the separate entity doctrine.
Company management - the constitution and internal governance.
Company management - directors' duties.
Members' rights.
Company finance.
Dealing with outsiders.
External administration.
Business finance - incurring debt and providing security.
Business Finance - credit law.
The law of electronic commerce.
