Abstract:
This subject examines the modern law of business organisations, with its chief focus on corporations, with some coverage of partnerships and trusts. The subject examines the way in which corporations are formed, rules regulating internal relationships within corporations, relationships with outsiders, the duties of directors and other officers, fundraising and the termination of corporations with a particular focus on liquidation.

Postgraduate students only. Not available to students who have completed LAW504 .
Objectives:
Upon successful completion of this subject, students should:
- be able to identify the different types of business organisation and the sources of the law regulating them
- be able to explain what is the most appropriate form of organisation for a business undertaking in specific circumstances
- be able to identify and explain the rules of law regulating the internal relationship between the participants of each organisation and between the organisation and third parties
- be able to use legal research skills to apply the law to legal problems
- be able to analyse legal rules so as to differentiate between possible outcomes to the legal issues arising from novel fact situations.
Syllabus:
The subject will cover the following topics:
- The nature of different business organisations;
- Partnership;
- Trusts;
- The law of agency;
- Formation of corporations;
- Corporate liability in crime, tort and contract;
- Corporate governance and the corporate constitution;
- Membership of a corporation - members' meetings and remedies;
- Directors' duties;
- Corporate finance: shares and debentures;
- Fundraising;
- External control - liquidation.
