Abstract:

The subject covers governance regimes and the responsibilities of directors as discussed in the context of Accounting, Law, Business Ethics, and World Order Studies. It examines local councils, Non Government Organisations (NGOs), business corporations and structures of global governance. Ethical and leadership issues are woven into the discussion of corporate governance primarily as it is applied to the business corporation.

Objectives:

Upon successful completion of this subject, students should:

- be able to discuss the nature of, rationales for, and methods of governance in the context of local councils, NGOs and business corporations;
- be able to apply ethical principles to corporate governance.

Syllabus:

The subject will cover the following topics:

. The concept of governance: history of the concept of governance; . Types of governance: self-govenance, leadership of others; . Political and organisational governance; . Governance and the Corporation as an organisational form; . Business Corporations under liberal capitalism; . External constraints on the corporate entity; . Corporate constitutions and rules; . Ownership/Shareholders; . Directors monitoring roles: the Board and its duties; . Role responsibilities of Managers; . Variable Standards of Performance Measurement, including "triple bottom line" accounting, tangible assets versus long tem prospects; . Meetings and reports; . Non-profit organisations; . Local councils; . International Governance.
