Abstract:
This subject is about the governance of corporations and ethical issues relating to the control of corporations and their behaviour. It examines the inter-section of governance techniques with regulation, corporate law and ethical theories. The subject will examine how differing theories of the corporation impact on corporate governance and how issues such as corporate social responsibility and the global financial crisis impact upon the governance of a corporation.

Objectives:
Upon successful completion of this subject, students should:
- Critically discuss the principles, modes and techniques of corporate governance and evaluate how these are applied in Australian companies
- Critically evaluate ethical principles, values, concepts and theories and apply these within a corporate governance context
- Synthesise the conceptual arguments surrounding the ideas of governance, regulation and the theoretical models of the corporation;
- Describe and analyse how internal systems of control are developed and enforced and their relationship to external regulatory frameworks;
- Evaluate the impact of the global financial crisis on corporate governance of Australian and foreign corporations

- Introduction to corporate governance
- Ethical principles, stakeholders and the nature of the corporation
- Internal corporate governance: the role of the board
- Management and officers of a corporation
- External corporate regulation
- Corporate governance and financial issues
- Directors and remuneration
- International corporate governance and the global financial crisis
- Ethical obligations of corporations
- The future of corporate governance
