LAW523 Finance Law (8)

Abstract

This subject deals with the legal framework which establishes, controls and regulates financial institutions and the law affecting relationships between them and their customers. It covers the legal relationship between trustees and beneficiaries, corporations and creditors. The subject also includes a detailed analysis of negotiable instruments and other common financial instruments and securities. In addition it considers the nature and types of securities; capacity and authority of borrowers entering transactions and remedies available to secured lenders.

Learning Outcomes

Upon successful completion of this subject, students should:
  • be able to demonstrate an understanding of the legal framework governing financial institutions, and the relationship between the law and business practice;
  • be able to identify law relevant to financial institutions and critically evaluate the impact of legal regulations on the practical operation of such institutions;
  • be able to demonstrate an understanding of the application of contract law to the specific relationship between financial institutions and their clients;
  • be able to analyse the law relating to secured interests in property;
  • be able to demonstrate an understanding of the need for a lender to determine that a borrower has the capacity and authority to enter into a particular transaction; and
  • be able to critically evaluate the remedies available to secured lenders in the event of default.

The subject will cover the following topics:
  • Statutory control of financial institutions and instruments;
  • Rights and duties in the banker-customer relationship;
  • Electronic banking and clearing systems;
  • Negotiable instruments;
  • Legal nature of securities;
  • Trusts;
  • Equity and debt finance;
  • Relevant principles of agency and corporate law;
  • International banking and finance transactions.
