LAW525 Contemporary International Legal Issues (8)

Abstract

This subject analyses contemporary international legal issues brought about by the globalisation of the world economy. Topics covered in this subject include legal issues in international trade and finance, intellectual property, dispute resolution mechanisms, implementing principles of human rights and protecting the environment, global trade and finance institutions, transnational corporate activities.

Learning Outcomes

Upon successful completion of this subject, students should:
- be able to discuss the place, role and effect of competition law and intellectual property in the global economy;
- be able to explain how international taxation is regulated;
- be able to explain the benefits of alternative dispute resolution methods for resolving trade and investment disputes;
- be able to outline and discuss some of the problems arising in international contracts;
- be able to describe international conventions affecting business transactions;
- be able to discuss financing of international trade;
- be able to describe the procedures for the transportation of goods by sea and by air;
- be able to discuss the socio-ethical dynamics of international trade and investment.

Syllabus

The subject will cover the following topics:
- The nature of international trade and finance. The legal factors affecting foreign trade and investment including anti-trust law, international taxation, countertrade, electronic commerce, trade-related aspects of intellectual properties and transfer of technology;
- World trade institutions;
- International Sales Contracts: Definition, functions, cultural approaches; government regulation; invitations to contract; offer and acceptance; special forms and terms of import and export contracts, cost, insurance and freight (cif), free on board (fob), International Chamber of Commerce Terms (INCOTERMS), standardisation of terms in international sales; specific clauses; documentation, performance of the contract; and Vienna Sales Convention;
- The law governing the contract: Hague Convention; choice of jurisdiction (forum) clauses; choice of law clauses; contracts with foreign governments and the doctrine of sovereign immunity; and illegality;
- Finance of exports: exchange controls; bills of exchange, promissory notes, commercial letters of credit, electronic funds transfer;
- International transport of goods: air, land and sea transport; scope of international rules such as Hague, Hamburg, Warsaw, container transport; bills of lading; charterparties;
- International commercial dispute resolution: international commercial litigation - jurisdiction, choice of law enforcement of foreign judgements; International commercial arbitration - nature, procedures, choice of law, United Nations Commission on International Trade Law (UNCITRAL) rules, International Chamber of Commerce arbitration, arbitration in different countries, enforcement of agreements and awards, International Commission on Settlement of Investment Disputes (ICSID); and Alternative dispute resolution - UNCITRAL conciliation rules; and Alternative Dispute Resolution (ADR) facilities in Australia;
- Environmental dimension of international trade and social and ethical issues including labour standards, human rights, bribery, money laundering, cultural issues;
- Regulating international corporate activities.
