Learning OutcomesUpon successful completion of this subject, students should:
- be able to outline and explain business as an economic, ethical and social activity which has a responsibility to contribute to the welfare of society; - be able to explain how businesses are affected by the interplay of legal, taxation and administrative requirements; - be able to outline and explain methods of preventing and resolving commercial disputes; - be able to discuss the law of partnerships, trusts and the operation of the proprietary company in small business; - be able to, on being presented with factual situation, suggest an appropriate business structure and justify it; - be able to explain legal regulation and other considerations vital to a business and professional person in private or public practice; - be able to outline and describe the particular aspects of international law which are relevant for Australian businesses. |

SyllabusThe subject will cover the following topics: - The objectives of business organisations; accountability of business and commerce; social responsibility; business ethics; the place of corporate and commercial regulation;
- Principles of governance and regulation of business organisations: Trade Practices legislation, Fair Trading legislation, Professional Body regulation and Codes;
- Alternative methods of dispute resolution in business and the professions;
- The law of Partnerships; advantages and disadvantages of a Partnership in business; taxation of partnerships;
- The law of Trusts; trading trusts and trust structures in business; advantages and disadvantages of a Trust in business; taxation of trusts;
- The proprietary company in the business environment; companies in business structures (holding companies, trustee companies); taxation of companies.
- Aspects of International business law with particular reference to International Contracts. |
