This subject examines the statutory environment of banking and financial businesses, and the law affecting relationships between bankers and their customers. It covers the legal relationship between participants in financial transactions, including creditors. The subject also includes a detailed analysis of negotiable instruments and other common financial instruments and securities, including the securities legislation. It identifies issues for financial advisors and examines issues in corporate finance, electronic banking and commerce.

Learning Outcomes

Upon successful completion of this subject, students should:
  • be able to identify the sources and content of the law governing the Australian financial system;
  • be able to demonstrate knowledge of the law relating to financial transactions, the fiduciary relationship, contracts and institutional compliance;
  • be able to critically evaluate the law relating to financial advising, lending and trusts;
  • be able to describe the law relating to securities and negotiable instruments and apply the relevant legislation; and
  • be able to critically evaluate legal issues within the area of electronic transactions and banking.

Syllabus

This subject will cover the following topics:
  • statutory control of authorised (financial) deposit taking institutions;
  • rights and duties in banker-customer relationships;
  • negotiable instruments and clearing systems;
  • the law relating to securities;
  • trusts and financial advising;
  • the law relating to equity and debt finance; and
  • electronic banking.
